Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Relevant Audience Digital Services PTE. LTD., operating as Zuvify ("Company," "we," "us," or "our"). By accessing our website at zuvify.com or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services

Zuvify provides professional web development services, including but not limited to:

• WordPress website development and customization
• Next.js web application development
• Headless CMS implementation (Payload CMS, Sanity)
• Website maintenance and support
• UI/UX design services
• Technical consulting

Client Responsibilities

As our client, you agree to:

• Provide accurate and complete information required for project completion
• Respond to communications and provide feedback in a timely manner
• Provide all necessary content, assets, and materials as agreed
• Ensure you have the rights to use all content provided to us
• Make payments according to the agreed-upon schedule
• Maintain confidentiality of any login credentials provided

Project Terms

Proposals and Agreements

All projects begin with a written proposal outlining scope, timeline, and pricing. Upon acceptance (written or electronic), the proposal becomes a binding agreement. Any changes to the agreed scope require written approval and may affect pricing and timeline.

Timeline

Project timelines are estimates based on the agreed scope and timely client feedback. Delays caused by late content delivery, extended feedback cycles, or scope changes may extend the timeline. We will communicate any significant changes to the schedule.

Revisions

Our proposals specify the number of revision rounds included. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Major changes or new feature requests constitute scope changes and will be quoted separately.

Payment Terms

• A deposit (typically 50%) is required before work commences
• Final payment is due upon project completion, before launch
• Invoices are payable within 14 days of issue unless otherwise agreed
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend work on accounts with overdue balances
• All prices are in Singapore Dollars (SGD) unless otherwise specified

Intellectual Property

Client Content

You retain ownership of all content you provide (text, images, logos, etc.). By providing content, you grant us a license to use it for the purpose of completing your project.

Deliverables

Upon full payment, you own all custom code, designs, and deliverables created specifically for your project. This excludes any third-party software, frameworks, or pre-existing tools used in development.

Portfolio Rights

We reserve the right to display completed work in our portfolio and marketing materials unless explicitly agreed otherwise in writing.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• We do not guarantee specific results, rankings, or business outcomes
• Websites are provided "as is" after the warranty period (typically 30 days)
• We are not responsible for third-party services, plugins, or hosting issues
• Browser compatibility is guaranteed for current versions of major browsers at launch

Limitation of Liability

To the maximum extent permitted by law, Zuvify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the total fees paid for the specific service giving rise to the claim.

Termination

Either party may terminate the agreement with written notice:

• By Client: You may terminate at any time, but fees for completed work and work in progress are non-refundable
• By Company: We may terminate if payment is overdue by 30 days or if the client breaches these Terms
• Upon termination, we will provide all completed work paid for to date

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical specifications, and non-public business information. This obligation survives termination of the agreement.

Indemnification

You agree to indemnify and hold harmless Zuvify, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your breach of these Terms; (b) content you provide that infringes third-party rights; or (c) your use of the deliverables.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet outages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms. Active project agreements will be governed by the Terms in effect at the time of signing.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
